One more vote for Wubi. Dyne:bolic claims to be able to be run from inside Windows but I’ve never been able (or frankly interested) in running it from anything but a CD. Debian has a similar installer at http://www.goodbye-microsoft.com and OpenSuse has instalinux, but I really don’t recommend them.
Microsoft really doesn’t want you to run anything but Windows. They are not going to release a boot loader which accommodates other OSes. Linux can do it because it has such a radically different model of what a computer is. I wouldn’t look to Microsoft for a boot loader. Your choices are grub lilo and running Linux on top of Windows.

I am able to install bin files but am facing problem in installing a new kernel (latest 32.2)
Even though you are new to Linux I am going to — VERY briefly — go into it and mention an alternative.
You use apt from the command line — generally — to update and maintain your system. If you want to use the update manager on the system, go ahead. It is generally a good idea to daily open whatever and do an update –"sudo apt-get update" "sudo apt-get dist-upgrade" . To find a package from the command line, you type "sudo apt-cache search <filename>" replacing <filename> with the name of the package you are looking for. Then "sudo apt-get install <filename>’.
I find that when I am on debian or Ubuntu downloading and using wajig or its gui version gjig produces a more stable system and a more satisfying experience than when I use apt, frankly.

* Run "Bootcfg /Rebuild"

RESOLUTION
Use the ERD disk and repair the installation. Choose to replace all files, and then replace only the Hal.dll and Ntoskrnl.exe files.
If you can start another installation of Windows NT on the same computer, you can expand the correct Hal.dll and Ntoskrnl.exe files from the Windows NT CD-ROM. To do so, follow these steps: 1. Boot to the working version of Windows NT.
2. Start a command prompt.
3. Change to the CD-ROM drive.
4. Change to the appropriate folder on the CD-ROM (for example, I386 for Intel-based computers).
5. Type expand hal.dl_ <systemroot>\system32 where <systemroot> is the path of the non-functioning Windows NT folder.
6. Type expand ntoskrnl.ex_ <systemroot>\system32.
7. Restart the computer into the other Windows NT installation.
